1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you" or "user") and lovematrix.top ("we," "our," or "us"), a talent management agency organized and existing under the laws of the State of New York. By accessing our website ( lovematrix.top) or using our services, you agree to be bound by these Terms. If you do not agree, you must not access or use our website or services.

2. Description of Services

lovematrix.top provides model and talent management services, including but not limited to: talent scouting and recruitment, career development and strategic planning, portfolio creation and management, booking and placement services, model training and coaching, brand partnership facilitation, and international talent placement. 3. Eligibility

You must be at least 18 years of age to enter into a management agreement with us. Individuals between the ages of 16 and 18 may apply with the written consent of a parent or legal guardian, who must co-sign any agreements. Our website is open to all visitors for informational purposes, but certain services and features may have additional eligibility requirements.

4. User Accounts and Registration

Certain features of our website may require you to submit information through forms or applications. You agree to provide accurate, current, and complete information and to update such information as necessary. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

5. Management Agreements

5.1 Contract Terms

Models and talent who are accepted for representation will enter into a separate, detailed management agreement. These Terms govern your use of our website and general interactions with our agency. The specific terms of your representation — including commission rates, exclusivity provisions, territory, and duration — are outlined in your individual management agreement.

5.2 Commission and Fees

Our management plans are priced as follows: Starter ($500/month), Professional ($1,500/month), and Elite ($4,000/month). In addition to management fees, standard industry commission applies to all bookings secured through our agency. Commission rates and payment terms are specified in your individual management agreement. All fees are in United States Dollars (USD).

5.3 Payment Terms

Management fees are due on the first business day of each month. Late payments may incur a fee of 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts more than 30 days past due. Booking commissions are deducted from payments received from clients before disbursement to the model.

6. Intellectual Property

6.1 Our Property

All content on our website — including text, graphics, logos, images, audio, video, software, and compilation — is the property of lovematrix.top or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. The "lovematrix.top" name, logo, and all related marks are trademarks of lovematrix.top.

6.2 Model Content

By submitting photographs, videos, or other materials to us, you grant lovematrix.top a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such materials for the purpose of providing our management services, promoting your career, and marketing our agency. This license continues for the duration of your management agreement and for a period of 12 months following its termination, unless otherwise specified.

6.3 User Content

Any content you submit through our website forms — including messages, feedback, and application materials — becomes the property of lovematrix.top and may be used for our business purposes. You represent that you have the right to submit such content and that it does not infringe on any third-party rights.

7. Prohibited Activities

You agree not to:

  • Use our website or services for any unlawful purpose or in violation of any applicable laws
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the operation of our website or servers
  • Attempt to gain unauthorized access to any portion of our website or systems
  • Use automated means (bots, scrapers, spiders) to access or collect data from our website
  • Upload or transmit any viruses, malware, or other harmful code
  • Harass, threaten, or intimidate any other users, models, or staff members
  • Use our trademarks, logos, or brand materials without prior written consent
  • Reproduce, distribute, or create derivative works from our website content
  • Solicit or attempt to recruit our represented talent for competing agencies

8. Disclaimer of Warranties

OUR WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WHILE WE STRIVE TO PROVIDE EXCELLENT MANAGEMENT SERVICES, WE DO NOT GUARANTEE ANY SPECIFIC RESULTS, INCLUDING BUT NOT LIMITED TO BOOKINGS, CAMPAIGNS, EARNINGS, OR CAREER OUTCOMES. THE MODELING AND TALENT INDUSTRY IS INHERENTLY COMPETITIVE AND RESULTS VARY BASED ON MANY FACTORS BEYOND OUR CONTROL.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, lovematrix.top AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE OUR WEBSITE OR SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; (C) ANY CONTENT OBTAINED FROM OUR WEBSITE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless lovematrix.top, its officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of and access to our website and services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your submitted content caused damage to a third party.

11. Termination

We may terminate or suspend your access to our website and services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Management agreements have their own termination provisions as specified in the individual contract. Upon termination of a management agreement, our obligations under these Terms specific to represented talent shall cease, except as otherwise stated in the management agreement.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or our services shall be resolved exclusively in the state or federal courts located in New York County, New York. You consent to the personal jurisdiction of such courts and waive any objection to venue.

13. Arbitration Agreement

For any dispute not resolved informally, you and lovematrix.top agree to resolve the dispute through binding arbitration administered by the American Arbitration Association ("AAA") in New York, New York, in accordance with the AAA's Commercial Arbitration Rules. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. This arbitration agreement does not preclude either party from seeking injunctive or other equitable relief in court.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, labor disputes, power failures, or Internet outages.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any individual management agreements, constitute the entire agreement between you and lovematrix.top regarding your use of our website and services, and supersede all prior and contemporaneous agreements, representations, and understandings.

17. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via our website or email. Your continued use of our website and services after such modifications constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
